The BonneFacture web application site is published by MANTAM SAS, a company with share capital of €15,000, registered under SIREN 821 352 549 at the RCS of Lorient, whose registered office is at 12, rue des Ormeaux, 56260 Larmor-Plage, France, designated below as the EDITOR.

These Terms (General Conditions of Use) define the relationship between the EDITOR and each user of the BonneFacture web application services, referred to below as the USER.

Effectiveness and acceptance

These conditions are deemed accepted by the USER as soon as they access BonneFacture services. In case of refusal of these conditions, the USER must stop using the service. In exchange for such acceptance, the EDITOR grants the USER the right to use BonneFacture services.

Disclaimer

This site allows you to create documents in order to accomplish commercial and administrative acts. These services are reserved exclusively for professionals who know the rules to which they are subject. The BonneFacture services do not purport to provide legal advice. The USER remains solely responsible for their acts, BonneFacture being limited to a technical role.

Any liability of the EDITOR shall be excluded, including but not exclusively, if the USER enters erroneous, incomplete, outdated or missing information. In case of regulatory changes, even in the absence of an update to BonneFacture services, the USER is responsible for any required adaptations. Free fields in forms allow the USER to enter any additional information.

Identification of correspondents

Upon any exchange with other BonneFacture users, it is the responsibility of the USER to identify their correspondents. BonneFacture cannot be held responsible in the case of identity theft. In addition, clients must be identified (correct email, name and phone number) to allow receipt of the document and therefore the validity of any payment.

Connection credentials

The information used to connect to the BonneFacture service is personal and the USER is responsible for maintaining its confidentiality. This includes the username, the password and also the cookie token used for automatic login. This function must be used only on computers used exclusively by the user.

The email account used to open the USER's account must also remain personal.

HTTPS mode must be used to access the service.

Payment process

As the EDITOR has integrated payment methods into the site, the USER must use them and have their clients use them in their intended manner. This therefore excludes bypassing security measures and the USER taking control of screens intended exclusively for their clients.

Signature, archiving and storage

The USER authorizes the EDITOR to store the data entrusted to it on its servers.

Documents produced are unsigned by default. To serve as accounting records, these documents must be signed electronically or printed.

BonneFacture is not a legal archiving service. Users must retrieve their documents once produced and arrange storage themselves.

Status of user-generated content

This service is similar to a messaging service. Content generated and sent is therefore private correspondence between users and is the property of its authors.

By sending data to correspondents, the USER grants them the right to access and retain the data sent.

Fair use

The services are intended to be used by a person using a browser. Any intensive automated use, whether intended or not to degrade service performance, is prohibited.

Any use intended to determine the internal operation of the application or to access functions not intended for the USER is prohibited.

Any use intended to break into third-party systems or to distort website search engine rankings is prohibited.

This includes in particular, but not exclusively, modifying URL addresses, modifying programs running on the USER's computer and using SQL or JavaScript strings in fields intended for text.

The site is intended to facilitate a fair and authentic commercial process. Any use intended to collect or transfer funds for any other purpose is prohibited.

The EDITOR reserves the right to deny the USER access to the service in all such cases.

Editor obligations

Scope of responsibilities

The responsibilities of the EDITOR are limited exclusively to providing an online invoicing system integrated with payment systems. It excludes, among other things, any participation in prospecting, commercial, accounting or tax processes. Unless a collection agreement applies, the EDITOR will remain neutral with regard to disputes between the USER and the USER's clients.

Data integrity and availability of service

The servers used are hosted according to industry best practices with a professional hosting provider.

Privacy

The EDITOR may not disclose data entrusted to it by the USER to third parties without the USER's consent. The EDITOR complies with the European GDPR directive on the protection of personal data.

This obligation is waived in the event of a court order.

These data may be subject to statistical processing by BonneFacture that removes their personal and confidential character. The statistics resulting from this processing are the property of BonneFacture.

Use of cookies

The site uses cookies for its operation on the one hand, and Google cookies for traffic analysis on the other. These data are used solely for anonymous internal statistics. No non-essential cookies requiring consent are used.

Right to modify and revoke the service

The USER can access and retrieve their data through the interface provided. The USER has the option to revoke access to the service upon simple request to the administrator. The data will then be erased, except for data sent by the USER to their correspondents.

Fair use

Data collected from the USER and stored by the EDITOR are used strictly for the proper operation and development of BonneFacture. This includes in particular the use of data provided by third-party services, such as Google, at the user's request, to fill in addresses on documents.

Stripe payment services

Payment processing services for organisations using BonneFacture are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By using these payment functions, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As BonneFacture enables payment processing through Stripe, you agree to provide BonneFacture with accurate and complete information about you and your business, and you authorize BonneFacture to share this information as well as transaction information related to your use of the payment processing services provided by Stripe.

Payouts

After payment by the USER's clients and receipt of funds in their account, the EDITOR will pay out the amount due to the user, minus applicable fees, once the client's withdrawal and appeal rights have been exhausted.

Intellectual property

The BonneFacture brand is the exclusive property of M P WARGNIER. These terms exclude any right of resale or modification of the services and are limited exclusively to the use of the services offered.

Applicable law and jurisdiction

These Terms & Conditions are subject to French law. Any dispute between the EDITOR and the USER in connection with the use of BonneFacture services will be subject to the jurisdiction of the courts of Lorient.

Severability

The nullity, lapse, lack of binding force or unenforceability of any provision of these general terms of use shall not entail the nullity, lapse, lack of binding force or unenforceability of the other provisions, which shall retain their full effect.
